WHEREAS, the Board of Trustees of Winthrop University continues to believe that it
is appropriate and necessary for the University to be an active and constructive participant
in land use planning efforts conducted by its host community; and
WHEREAS, the Board of Trustees of Winthrop University appreciates the willingness
of its host community to work in a cooperative manner to assist in land use planning
efforts for the future needs of the University; and
WHEREAS, the members of the Board of Trustees have examined the proposed "Compact regarding various properties of interest to Winthrop University and the City
of Rock Hill" (hereinafter the "Compact") and find that its components are appropriate
and acceptable;
THEREFORE, LET IT BE RESOLVED by the Board of Trustees of Winthrop University that
the elements of the Compact attached hereto and incorporated by reference are hereby
endorsed; and
LET IT BE FURTHER RESOLVED by the Board of Trustees of Winthrop University, that the President of Winthrop University is hereby authorized to complete final arrangements related to the Compact and to execute the Compact on behalf of Winthrop University.

COMPACT REGARDING VARIOUS PROPERTIES OF INTEREST TO WINTHROP UNIVERSITY AND THE CITY OF ROCK HILL
This agreement is between the City of Rock Hill ("the City") and Winthrop University ("the University,") both of whom are cooperative partners in long-term community-building and urban redevelopment activities beneficial to both entities and the public they serve.
Central to the future development of the University in geographic directions that will support and augment the City's economic development goals are certain properties presently owned by the City, all within an area bounded by Winthrop University, Cherry Road, Constitution Avenue, and Stewart Avenue. Concurrently, the City has an interest in helping to determine the future use of certain properties presently owned by the University, including several acres of vacant property bounded by Cherry Road, Richmond Drive, Eden Terrace and Winthrop Park, as well as a tract on Oakland Avenue currently occupied by Winthrop Lodge.
Thus, in keeping with their mutual long-term development goals and strategic cooperative partnerships, the City and the University agree to the following, which will assist both entities in their respective mid- and long- term planning and decision-making:
That the City agrees to the concept of and agrees to work toward the goal of conveying to the University all property that is both within the above described region and presently owned by the City.
That such conveyance likely will be incremental in nature, depending on the duration of the City's need for various tracts now being used for various purposes. Terms of each conveyance will be negotiated through various means and various compensation scenarios and with various timetables as befit the circumstances surrounding each tract, and the terms of each conveyance will require the approval of relevant public bodies to which the City and the University are respectively accountable.
That the University and the City agree to collaborate in planning for the future of two tracts of University-owned property — approximately 17 acres of vacant property bounded by Cherry Road, Richmond Drive, Eden Terrace, and Winthrop Park, as well as a tract on Oakland Avenue currently occupied by Winthrop Lodge — and to work toward the goal of possible future conveyances of these tracts to the City if so indicated by the planning described above.
That both the City and the University agree to instruct their respective chief executive officers to keep each other informed of timetables, plans and needs that would impact on the ultimate fulfillment of the concept and goal outlined above.
The above agreement is undertaken in fulfillment of the higher education mission of
Winthrop University and in fulfillment of the economic/urban core redevelopment strategies
of the City of Rock Hill, both of which are to the ultimate benefit of the State of
South Carolina and its people.
